Executive SummarySince 1958, Gray Line in New York has gone through several ownership changes. The corporate entity Licensed by Gray Line is Gray Line New York Tours, Inc. ("GLNY"). GLNY, as an entity, was established in 1958. It has been transferred four (4) times since 1958: 1969, 1982, 1984 and 1999.
The current Application for Transfer is required as GLNY, in March of 2009, became a wholly-owned subsidiary of Twin America, LLC ("Twin"). Twin itself is owned by City Sights LLC and International Bus Services, Inc. ("IBS") that share control of the Company equally. IBS is a wholly-owned, Coach America, Inc. subsidiary. For clarity, GLNY, prior to March 2009, was a wholly-owned subsidiary of CoachUSA. After March, 2009, GLNY became a wholly-owned subsidiary of Twin. This action, in and of itself, constitutes a transfer. Except for the cover letter from Mark Marmurstein, concerning the requirement for a Transfer, the GLNY/Twin management has been very cooperative throughout the process, providing all documentation as required and responding promptly to requests for more information. Twin is requesting to enlarge their Origin Area Map. Such requests are common as part of the Transfer process. The prior map was a legacy version (see link) from the original agreements. Gray Line Worldwide is not opposed to the restructured map, as it makes commercial sense for the greater New York area, specifically as it relates to the three major inbound airports (LGA, JFK and EWR).
